Matt VanderGoot concentrates in the representation of emerging growth companies as well as venture capital firms and strategic investors in connection with corporate and securities transactions including equity and convertible debt financings, mergers and acquisitions and recapitalizations. He also provides strategic counseling and advises clients on a broad range of legal issues including corporate governance, securities laws, employment and compensation arrangements and protection of intellectual property.

Recent representation of emerging growth companies in financing transactions has included CSA Medical, Inc., EverFi, Inc., FortiusOne, Inc., Informous, Inc., Mobile Posse, Inc., TRAFFIQ, Inc. and Vital Sensors Holding Company, Inc. Recent representation of venture capital funds in financing transactions has included: CNF Investments, Florida Opportunity Fund, Greenhill SAVP, The Grosvenor Funds, Harbert Venture Partners, New Enterprise Associates, New Atlantic Ventures, New Markets Growth Fund, Novak Biddle Venture Partners, Paladin Capital Management and Valhalla Partners.
Mr. VanderGoot’s M&A experience includes both the representation of companies in sell-side liquidation events and the representation of private equity firms in portfolio company acquisitions. Mr. VanderGoot’s sell-side transactions include the sale of POWERPRECISE Solutions, Inc. to Texas Instruments Incorporated (NYSE: “TXN”) and the sale of ISR Solutions, Inc. to The Stanley Works (NYSE: “SWK”) and his private equity transactions include the representation of Imperial Capital Group in its purchase of Petra Pet, Inc. and Petra Vet LLC (Beefeaters brand).
